Terms of Service: Geopbyte
Effective date: [to confirm: effective date]
These Terms of Service ("Terms") govern the managed WhatsApp automation services provided by Geopbyte App Sdn. Bhd. (Company No. 1189038-K, incorporated in Malaysia on 25 May 2016), of c/o ED Zone Management Sdn. Bhd., 149A, Jalan Aminuddin Baki, Taman Tun Dr. Ismail, 60000 Kuala Lumpur, Malaysia ("Geopbyte", "we", "us"), to businesses ("Client", "you"), and the use of our website and client portal at geopbyteapp.com and app.geopbyteapp.com. Our services are for businesses only, not for consumers. By connecting a WhatsApp Business Account to Geopbyte or using the portal, you agree to these Terms on behalf of your business. Where you and Geopbyte have signed a separate service agreement or quotation, that agreement prevails over these Terms if they conflict.
1. The service
Geopbyte sets up, operates and maintains WhatsApp automation for your business on the WhatsApp Business Platform (Meta Cloud API). Depending on what you order, this may include: chatbots that reply to your customers; preparing and submitting message templates; sending approved template messages; hand-off of conversations to your staff; quotation and lead-capture flows; AI voice agents for WhatsApp calls; and a client portal to view your account status, templates and conversations. The exact scope, service levels and deliverables are set out in your quotation or service agreement.
2. Connecting your WhatsApp account
You connect your WhatsApp Business Account through Meta's Embedded Signup. You authorise Geopbyte to use the permissions whatsapp_business_management and whatsapp_business_messaging for the account you select, so that we can manage the account, templates and webhooks, and send and receive messages on your behalf. You confirm that you are authorised to connect that business, account and phone number.
3. Your responsibilities
- Comply with the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy and Meta's other applicable terms, and with Malaysian law, including the Personal Data Protection Act 2010.
- Opt-in: obtain and keep a record of each customer's consent before you (or we, on your instructions) send them business-initiated or template messages, and honour opt-out requests (such as "STOP") promptly.
- Make sure the content, price lists, product information and instructions you give us are accurate, lawful and that you have the right to use them.
- Provide a privacy notice to your own customers that covers the use of WhatsApp and of service providers such as Geopbyte.
- Keep your portal login details confidential and tell us promptly about any unauthorised use.
- Staff your hand-off: when a conversation is handed to a human agent, your staff are responsible for those replies.
4. Acceptable use
You must not use the service to: send spam, unsolicited bulk messages or messages to people who have not opted in; send content that is unlawful, misleading, defamatory, harassing, hateful or that infringes another person's rights; sell or promote products or services prohibited by the WhatsApp Commerce Policy; collect sensitive data (such as full payment card numbers or passwords) through chat; impersonate another person or business; or attempt to interfere with, probe or overload our systems or Meta's. We may refuse to send, or pause, any message or flow that we reasonably believe breaches these rules or Meta's policies.
5. Fees
Fees, billing periods and payment terms are as set out in your quotation or service agreement. WhatsApp conversation or message charges billed by Meta are payable as agreed in that document (either directly to Meta or passed through by Geopbyte). Unless agreed otherwise, invoices are payable within [to confirm: number] days, and prices exclude applicable taxes such as SST.
6. Dependency on Meta's platform
The service depends on the WhatsApp Business Platform and other Meta services, which Geopbyte does not control. Meta may change its features, pricing, policies, template approvals, quality ratings or messaging limits, or may restrict or suspend a WhatsApp account or phone number. Geopbyte is not responsible for such actions by Meta, or for interruptions of Meta's services, but we will help you respond to them where we reasonably can.
7. Data protection
When we handle your customers' personal data, we act on your behalf and on your instructions. How we collect, use, share and retain personal data is described in our Privacy Policy, which forms part of these Terms. Each party will comply with the Personal Data Protection Act 2010 in respect of the personal data it handles.
8. Intellectual property
You keep all rights in your content, branding and customer data. Geopbyte keeps all rights in its software, bots, flows, templates it designs (excluding your content) and know-how. You grant us a licence to use your content only to provide the service to you.
9. Suspension and termination
- We may suspend all or part of the service, with notice where practical, if you breach these Terms or Meta's policies, if fees are overdue, or if required by Meta or by law.
- Either party may end the service as set out in your service agreement, or, where there is none, on [to confirm: notice period] written notice.
- Either party may end the service immediately by written notice if the other materially breaches these Terms and does not fix the breach within 14 days of being told about it.
10. Disconnecting your WhatsApp account
You can disconnect at any time by any of these methods:
- In the portal: log in, open Accounts, and click Disconnect this WhatsApp account from Geopbyte.
- By email: write to support@geopbyteapp.com from your registered email address.
- In Meta: open Meta Business Settings (business.facebook.com/settings), go to Integrations › Connected apps (or Business integrations / Partners), select Geopbyte and click Remove. You can also remove the app from your Facebook account under Settings › Business integrations.
After disconnection we stop sending and receiving messages for that account, and delete access tokens and data as set out in the Privacy Policy and on the Data deletion page. Fees already incurred remain payable.
11. Warranties and limitation of liability
- We provide the service with reasonable skill and care. Except as expressly stated in these Terms or your service agreement, the service is provided "as is", and we do not guarantee that it will be uninterrupted or error-free, or that automated or AI-generated replies will always be accurate.
- To the extent permitted by law, neither party is liable for any indirect or consequential loss, or for loss of profit, revenue, business or goodwill.
- To the extent permitted by law, Geopbyte's total liability arising from or in connection with the service in any 12-month period is limited to the fees you paid to Geopbyte for the service in that period.
- Nothing in these Terms limits liability that cannot be limited under Malaysian law.
12. Changes to these Terms
We may update these Terms from time to time. We will update the effective date above and tell Clients about material changes by email at least [to confirm: number] days before they take effect. Continuing to use the service after that date means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of Malaysia, and the courts of Malaysia have exclusive jurisdiction over any dispute arising from them.
